COPYRIGHT LICENSE AGREEMENT
This contract (the "Agreement") is made by and between Samuel Lubelski ("Licensor"), and Gold Medal LLC ("Licensee").
  • A. Licensee is a sports advertising agency engaged in the creation of marketing materials including, but not limited to, print and commercial advertisements.
  • B. Licensor owns the copyright to a song titled "Deafening Victory" written, performed, and produced by Samuel Lubelski, and is willing to allow Licensee to utilize such materials under the terms herein set forth.
Licensee agrees to abide by the terms as follows:
  • 1. This Agreement shall be effective as of
    April 23, 2026
    (the "Effective Date").
  • 2. Licensor is the proprietor of all copyrighted work described in this agreement. No other person(s) nor entity has claim to any of the material within this work.
  • 3. Licensee agrees to pay either the minimum royalty of $1,500 or a licensing fee, whichever is greater. The licensing fee shall be calculated as follows:
    a. $500 for the initial airing of an advertisement of sixty seconds or less
    b. $100 for each subsequent airing of the advertisement
  • 4. The minimum royalty payment will be issued no less than thirty (30) days prior to the initial airing of the advertisement. Additional royalty payments will be sent monthly, per the licensing fee agreement, until the advertisement is no longer in use.
  • 5. This agreement may be terminated by either party upon written notice if either party breaches any of its obligations under this agreement. The termination notice shall specify the breach and provide the breaching party with a reasonable period of time, not less than thirty (30) days, to cure the breach. If the breach is not cured within the specified time period, this agreement shall be terminated automatically.
    In the event of termination, Licensee shall immediately cease all use of the song and return or destroy all copies of the song in its possession.
  • 6. Licensor hereby grants Licensee an exclusive right to the song. Unless the prior written approval of Licensor is obtained, Licensee may not modify the song in any way. In the case that Licensor grants permission to modify or alter the song in any way, all rights, title, and interest in the resulting derivative song shall remain with Licensor. Any attempts by Licensee to obtain rights to, or otherwise profit from, the derivative song will result in legal action.
  • 7. Licensee agrees to uphold the good name and reputation of Licensor. If the song is used in any way that Licensor deems morally objectionable, Licensor retains the right to terminate this agreement. If it is determined that a continued gross moral rights infringement has occurred, an injunction may be filed to prevent further damage to Licensor's good name.
  • 8. If Licensee fails to abide by the obligations of this agreement, Licensor shall have the option to cancel this agreement by providing sixty (60) days' written notice to Licensee. Licensee will retain the right to take corrective action in order to prevent the termination of this agreement.
